Private limited company is a most popular option to start a business in India it is incorporated under Companies Act 2013 with minimum 2 directors and minimum 2 shareholders and it is governed by Ministry of Corporate Affairs.
Some advantages for incorporating Private limited company: Private limited company is a separate legal entity from its owners and have common seal and can buy/sell assets in its own name and have perpetual succession.
The government has rolled out a new procedure to make easier for incorporating a business in India. The new procedure is simplified proforma for incorporating company electronically plus (spice+) which integrate various services.
Spice+ would offer ten service by three Central Government and one state government (Maharashtra) thereby saving as many procedure time and cost for starting a business in India.
- Spice+ have 2 parts: Part A for name reservation and Part B offering a various services viz. Incorporation service, allotment of DIN number up to 3 DIN, issue PAN, Issue of TAN, Mandatary issue EPFO registration, Mandatary opening of bank account for the company, allotment GST IN (if so applied for)
- User may either choose to submit only for name reservation and proceed thereafter or directly proceed for incorporation after prescrutinize Part A.
- After submitting application for name reservation only the fees of 1000 will be payable. And the part B will be proceed after the name reservation provided that the name should not be same or identical to name of company already in existence or have trademark.
- On directly proceed for incorporation the next page will be appear on which corresponding address of proposed company Contact details, Email Id and other such details have to mention as required.
The Attachment to spice form are as follows:
1)MOA 2)AOA 3)Identity proof and address of all subscriber 4) NOC for using premise as correspondence address of proposed company and utility bill 5) Declaration by 1st director and subscriber 6) Proof of office address 7) Resolution passed by promoter company (if promoter is company) 8) Interest of first director in other company

On directly proceed for incorporation the next page will be appear on which corresponding address of proposed company Contact details, Email Id and other such details have to mention as required For ensuring ease while filing of company spice+ will be structured into various section.
- Once the spice+ is filled completely with all related details same would have to download for affixing DSC’s and to upload.

- All new companies incorporated through spice+ would also apply for opening of company bank account through AGILE. The MCA has notified E-form known as AGILE:
Application for registration of GSTIN, ESIC registration, EPFO registration, Professional Tax Registration, opening of bank account and shops and Establishment registration in one go.

- Declaration by all first directors and subscriber in INC 9 shall auto generate in pdf format and would also submit with spice B form except where:
- Total number of subscriber and/or director is greater than 20 and/or
- Any such subscriber and/or director have neither DIN nor PAN.
- The MOA and AOA have option to submit in PDF from or submit electrically through spice+ MOA and spice+ AOA contain details subscribers and share of each subscriber should also mention in front of name AOA such spice MOA and spice AOA filled and download for offering DSC.
- after prescrutinize of spice+ part B ,AGILE PRO, Spice+ MOA, Spice+ AOA, INC-9 will auto generate download all the 5 form and affix Digital signature certificate(DSC) of respective person in the box given in from of their name.

- In case any Query raised by government form need to be resubmitted after initiating changes or addition in form as shown in query. The spice+ form has to be resubmitted in same manner the form spice+ submitted previously
